By engaging Michitai for game development services, you agree to the following terms and conditions. These terms govern the relationship between Michitai and the client throughout the project lifecycle.

Michitai retains ownership of all proprietary workflows, development methodologies, internal tools, and licensed asset libraries used in the development process.
Client ownership applies to the final compiled game builds delivered to the client. The client has full rights to distribute, monetize, and use the delivered builds for commercial purposes.
Third-party assets used in development remain subject to their respective licensing agreements and cannot be transferred or redistributed outside of the compiled builds.
Unity Asset Store assets are licensed to Nichita Levandovici for use in client projects. These assets cannot be redistributed, transferred, or provided to clients in source format.
Compiled builds include licensed assets in their final form, allowing clients to publish games without additional licensing requirements.
Custom assets created specifically for a client project are included in the deliverables and become client property.
Asset restrictions prohibit clients from extracting, reverse-engineering, or reusing assets from delivered builds in other projects.
Final deliverables include compiled game builds for the agreed-upon platforms (Windows, macOS, iOS, Android, etc.)
Build formats are provided in ready-to-publish formats (e.g., .exe, .app, .apk, .ipa) suitable for distribution on target platforms.
Documentation includes build instructions, platform-specific requirements, and basic technical documentation.
Launch support includes assistance with store submission and initial launch troubleshooting within the agreed support period.
Unity project files and source assets are NOT included in standard deliverables unless separately negotiated and contracted.
Source code access can be provided as an additional service with separate pricing and licensing terms.
Asset source files (3D models, textures, audio files) are not included unless specifically agreed upon in writing.
Work-in-progress files remain Michitai property and are not delivered to clients.
Future updates and additional features beyond the original scope are billed separately as new projects.
Update pricing follows the same pricing structure as original development packages based on scope and complexity.
Bug fixes for issues discovered within 30 days of delivery are included at no additional cost.
Platform updates required by platform policy changes (e.g., iOS updates) are billed separately.
Feature requests made after project commencement are considered change orders and may affect timeline and pricing.
QA testing is included during the agreed development timelines as specified in the chosen pricing package.
Testing scope covers functionality, performance, and compatibility across specified target platforms.
Additional testing beyond the included period is billed at standard hourly rates.
Client testing is expected at designated milestone review points to provide feedback and approval.
Known limitations will be documented and communicated to the client prior to final delivery.
Standard payment structure follows a milestone-based model:
Alternative arrangements can be negotiated for enterprise clients with established relationships.
Late payments may result in project delays and suspension of work until payment is received.
Payment methods include bank transfer, credit card, and other agreed-upon methods.
Development timelines are estimated based on project scope and complexity as outlined in pricing packages.
Timeline adjustments may occur due to client feedback cycles, scope changes, or unforeseen technical challenges.
Client delays in providing feedback, assets, or approvals may extend project timelines.
Delivery dates are targets rather than guarantees, though Michitai strives to meet all committed deadlines.
Force majeure events may excuse delays beyond reasonable control.
Timely feedback is required at designated milestone review points to maintain project momentum.
Asset provision of client-owned assets (if applicable) must be provided in agreed formats and timelines.
Platform accounts for store publishing (Steam, App Store, Google Play) are the client's responsibility to set up and maintain.
Legal compliance for published content, including ratings, privacy policies, and regional requirements, is the client's responsibility.
Marketing materials beyond what's included in deliverables are the client's responsibility.
Liability is limited to the total amount paid by the client for the specific project.
Michitai is not liable for indirect, incidental, special, or consequential damages.
Platform decisions by app stores or distribution platforms are beyond Michitai's control.
Commercial performance of delivered games is not guaranteed and depends on client marketing and market factors.
Either party may terminate the agreement with written notice.
Client termination results in delivery of work completed to date, with payment due for all work performed.
Michitai termination may occur for non-payment, breach of terms, or other material violations.
Work in progress at termination remains Michitai property until paid for in full.
Governing law is that of the jurisdiction where Michitai is registered.
Entire agreement consists of these terms plus any project-specific contracts or statements of work.
Amendments must be in writing and signed by both parties.
Severability allows any invalid provision to be severed without affecting remaining terms.
Waiver of any term does not constitute waiver of any other term or future breaches.
